BROKERS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR
OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
VIC COPPOLA & WAYNE FORT – FIRST CHOICE BUSINESS BROKERS DOES NOT WARRANT THAT:
YOU ASSUME SOLE RESPONSIBILITY FOR ANY DAMAGE TO YOUR DEVICE, LOSS OF DATA, OR
OTHER CONSEQUENCES ARISING FROM USE OF THE SITE. VIC COPPOLA & WAYNE FORT – FIRST
CHOICE BUSINESS BROKERS RESERVES THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE ANY

2. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIC COPPOLA & WAYNE FORT –
FIRST CHOICE BUSINESS BROKERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT
LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE
LOSSES, ARISING OUT OF OR RELATING TO:
IN NO EVENT SHALL VIC COPPOLA & WAYNE FORT – FIRST CHOICE BUSINESS BROKERS’S
CUMULATIVE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS (USD $100) OR THE
TOTAL AMOUNT PAID BY YOU FOR SERVICES THROUGH THE SITE. SOME JURISDICTIONS DO NOT
ALLOW LIMITATIONS ON LIABILITY; IF SUCH LAWS APPLY, CERTAIN LIMITATIONS HEREIN MAY
NOT APPLY TO YOU.
3. Modification and Indemnification
VIC COPPOLA & WAYNE FORT – FIRST CHOICE BUSINESS BROKERS RESERVES THE RIGHT, AT ITS
SOLE DISCRETION, TO MODIFY, SUSPEND, OR DISCONTINUE THE SITE, ANY SERVICES, OR THIS
AGREEMENT AT ANY TIME WITHOUT PRIOR NOTICE. SUCH MODIFICATIONS SHALL BE EFFECTIVE
UPON POSTING TO THE SITE. BY CONTINUING TO USE THE SITE AFTER SUCH MODIFICATIONS,
YOU AGREE TO BE BOUND BY THE AMENDED TERMS.
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS VIC COPPOLA & WAYNE FORT –
FIRST CHOICE BUSINESS BROKERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND
AGENTS FROM ANY CLAIMS, LIABILITIES, DAMAGES, LOSSES, OR EXPENSES (INCLUDING
REASONABLE ATTORNEYS’ FEES) ARISING OUT OF YOUR USE OF THE SITE, YOUR VIOLATION OF
THIS AGREEMENT, OR YOUR VIOLATION OF ANY RIGHTS OF THIRD PARTIES.
4. User Conduct
You agree to use the Site solely for lawful purposes. Prohibited activities include, without
limitation:
VIC COPPOLA & WAYNE FORT – FIRST CHOICE BUSINESS BROKERS RESERVES THE RIGHT TO
TERMINATE OR SUSPEND YOUR ACCESS TO THE SITE, WITHOUT NOTICE, IF YOUR CONDUCT
VIOLATES THIS AGREEMENT OR THE RIGHTS OF OTHERS.
5. Account Information and Security
You are responsible for providing accurate, current, and complete information when creating an
account and for maintaining and promptly updating such information. VIC COPPOLA & WAYNE
FORT – FIRST CHOICE BUSINESS BROKERS may suspend or terminate your account for providing
false or misleading information.
You are responsible for maintaining the confidentiality of your account credentials. You agree to
notify VIC COPPOLA & WAYNE FORT – FIRST CHOICE BUSINESS BROKERS immediately of any
unauthorized use of your account or any security breach.
6. Intellectual Property Rights
All content on the Site, including text, graphics, images, designs, software, logos, and other
materials, constitutes proprietary information of Vic Coppola & Wayne Fort – First Choice
Business Brokers and is protected under U.S. and international copyright, trademark, and other
intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Site for
personal, non-commercial purposes only. Any reproduction, distribution, modification,
transmission, or commercial use of Site content without prior written consent is strictly

9. Governing Law
These Terms of Use shall be governed by, construed, and enforced in accordance with the laws
of the State of Nevada, without regard to its conflict-of-law principles. You consent to exclusive
jurisdiction of the courts located in Nevada for any disputes arising out of or related to this
Agreement.
If any provision of this Agreement is deemed invalid or unenforceable, such provision shall be
severed, and the remainder shall remain in full force and effect.
This Agreement, together with our Privacy Policy, constitutes the entire agreement between
you and Vic Coppola & Wayne Fort – First Choice Business Brokers regarding your use of the
Site.
